1.1 Any order placed by the Buyer with the Supplier constitutes a binding contract. The Supplier must comply with these Terms and any applicable Special Conditions including logistics, quality contracts, specifications, technical sheets, and tender documents. In case of conflict, these Terms prevail. 1.2 The Supplier must comply with all applicable legislation related to the goods or services provided. If this obligation is breached, the order will be terminated immediately at no cost to the Buyer, with no need for prior notice.
2.1 The Supplier must respect professional secrecy and ensure that specifications, drawings, plans, methods, or any project-related information is not disclosed to third parties by itself or its employees, subcontractors, or partners.
3.1 All information, specifications, designs, know-how, processes, or derivatives created or shared in relation to an order are the exclusive property of the Buyer, whether supplied by the Buyer or developed by the Supplier.
4.1 All invoices must be submitted to the Buyer's accounts department and uploaded on the platform. They must include: (a) Order numbers (b) Delivery slip numbers (c) Product or service details (d) All legally required information. 5.1 Contract amounts exclude VAT unless explicitly stated. VAT will be added as required. 5.2 The Supplier must issue valid VAT invoices according to applicable UAE law. 5.3 The Buyer will reject non-compliant invoices and bear no responsibility for payment unless a valid VAT invoice is provided.
7.1 The Supplier must not disclose any confidential business, customer, or operational information. 7.2 Disclosure is only allowed: (a) To essential personnel or consultants under NDA (b) If required by law or court. 7.3 Confidential information must not be used outside the order’s purpose. All materials, tools, and documents provided by the Buyer remain Buyer's property, to be securely stored and returned in good condition.
8.1 This agreement is governed by the laws of the United Arab Emirates. All related disputes will be resolved under UAE law.
9.1 Both parties agree that legal disputes shall be exclusively settled in the courts of Dubai, United Arab Emirates.
